1. GENERAL |
| |
All deliveries and services from and by HBT shall be governed exclusively by the following terms and condition and no deviations from these conditions, except those accepted in writing, shall be bringing on HBT. It is clearly understood that, by placing am order with us, the customer is deemed. |

- To have accepted our conditions and
- To have waived off their conditions of purchase,
if any, conflicting with of ours.

2. Quotation |
| |
The quotation is valid for
a period of thirty days unless extended.
We reserve the right to alter the
design and weight to be in conformity with the technical progress.
Mistakes that are due to printing, arithmetical
and calculation, which are apparent shall not give rise to any claim for
compensation and will not create any obligation. |

3. Price |
| |
Prices quoted are ex-works
Coimbatore. The prices do not include packing, taxes, others
levies and freight charges with are as follows –
Packing charges are subjected by 2%.
Sales Tax: As applicable
at the time of delivery. Sales Tax concession from should accompany the
purchase order (if concession rate of VAT/CST has availed)
Freight Charges: Freight
to pay. However, if small consignments are sent through RPP or Courier, Such
charges will have to be prepaid.
All other Taxes and levies and shall be borne by
the purchase prices and terms are subject to change without any notice. The
price ruling at the time of dispatch will apply. |

4. Mode of Dispatch |
| |
Unless otherwise
specified, by RPP and/or by lorry only. Dispatches by courier can be made but
only if specified by the client, who should also indicate the name of the
courier. However, HIFIT shall bear
no responsibility for the quality of such services.
Dispatches by VPP are not acceptable. |

5. Delivery Time |
| |
We
shall endeavor to keep the schedule delivery dates. The delivery period
commences from that point of time, when all the technical and commercial
details have been clarified.
If some clarifications are required the delivery period commences from the date
such clarifications reach us. Unless otherwise specified part deliveries are
permitted. Traffic bottlenecks dearth of Unforeseen events, whether in our
works or in the third party undertakings on which the manufacture and
transportation of the object of supply material depend and up springs, strikes
action by Public Authorities, act of God and raw material and energy of water , fire , which release us from the
Obligation to adhere to the delivery dates provided we notify such events
without delay. |

6. Payments |
| |
Unless
differently agreed in writing by us, payment shall be made by the way of demand
payable at Coimbatore
demand Draft payable at Coimbatore HIFIT shall bear only their bank charges.
The amount invoiced has to be paid within 10 days after the documents have been presented by the bank. Beyond this term, an interest, as prevailing at the time of sales be charged.
For
non-standard, 50% of the purchase price (Non-interested bearing) must be paid
when placing the order. For our technical book full advance by demand Draft is
required. |

7. Transit Insurance |
| |
Our responsibility ceases
as soon as material is handed over to the transporter/postal authority/road
carrier. We will entertain no claim for loss, damage in transits or short
delivery. To cover all such risks the insurance of all such material in transit
is to be arrange transit insurance at an extra cost. In the event of any
shortage of any shortage, damage buyer should inform us for the same within 48
hours of receipt of material, or to make contra deductions, because of possible
counter claims. |

8. Demurrage |
| |
All demurrage charges incurred by reason of non- clearance of materials from transporter after arrival of same at destination for any other reason shall be borne by buyer |

9. RISK TRANSFER AND ACCEPTANCE: |
| |
Risk is transferred to the ordering party upon dispatch, in part or full, from our works in Coimbatore. |

10. Reservation of ownership rights |
| |
HIFIT shall have a general lien on all goods for the time
being in possession and the property of the goods, not pass to the buyer until
completion of payment of all outstanding amounts, present or future arising of
the business relationship with the purchaser, irrespective of legal arguments. |

11. Warranty |
| |
Applicable
as per manufactures assured warranty |

12. Impossibility, Delay, Contract Amendment |
| |
The
party placing the order may withdraw from the contract if we are not able to
supply within the acknowledged delivery time. In case part deliveries have
taken place, only the remaining portion can be cancelled. |

13. Claims for compensation for damages |
| |
Under
no circumstances we can accept penalties of any nature in case of delayed
supply. We also shall not be liable for damages measured by loss of profit or
product or consequential damages of any nature resulting wholly or partly from HIFIT, negligence, mistake, and
misrepresentation. |

14. Place of Jurisdiction |
| |
Legal
Jurisdiction: No legal proceeding shall be taken to enforce any claim and so
suit arising out of contract shall be instituted except in a court of competent
jurisdiction located within the corporation limits of Coimbatore and in no other court. |
